Welcome to Orem. By accessing or using our services, you agree to comply with and be bound by these Terms and Conditions and our Privacy Policy. Please read them carefully before using the platform.

If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using any part of Orem's website, applications, or services (collectively, the 'Service'), you agree to be legally bound by these Terms and Conditions. These Terms apply to all visitors, users, and others who access or use the Service.

2. Eligibility

You must be at least 13 years of age to use Orem. By using the Service, you represent and warrant that you meet this age requirement. If you are between 13 and 18 years old, you must have the consent of a parent or legal guardian.

3. Your Account

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use of the Service

You agree to use Orem only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable local, national, or international laws or regulations
• Upload or submit content that infringes the intellectual property rights of others
• Transmit any unsolicited or unauthorized advertising or promotional material
• Attempt to interfere with, compromise, or disrupt the Service or its servers
• Use the Service to harm, harass, or intimidate other users
• Reverse-engineer or attempt to extract the source code of the Service
• Use automated scripts, bots, or scrapers to access or interact with the Service

5. AI-Generated Content

Orem provides AI-native tools for music, beat, album, and artwork generation. By using these tools, you acknowledge that:

• AI-generated outputs may vary and are not guaranteed to meet any specific standard of quality
• You are solely responsible for reviewing and ensuring the appropriateness of generated content before sharing or distributing it
• Orem does not guarantee that AI-generated content is free from third-party intellectual property claims
• You must not use AI-generated content for illegal, harmful, or offensive purposes

6. Copyright & Lyrics Policy

Users are solely responsible for ensuring that any lyrics, melodies, or content they submit do not infringe upon the intellectual property rights of third parties.

By submitting custom lyrics to Orem's generation tools, you represent and warrant that: (a) the lyrics are your own original work; or (b) you hold all necessary rights, licenses, or permissions to use the lyrics for the intended purpose, including commercial use where applicable.

Tracks generated using custom lyrics for which the user has not attested original ownership or proper licensing are automatically designated as Non-Commercial Use Only. Such tracks may not be sold, licensed, distributed for profit, used in commercial advertising, or submitted to streaming platforms for monetization.

If you believe that content on Orem infringes your copyright, please submit a DMCA takedown notice to legal@orem.io. Repeat infringers will have their accounts terminated.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Orem and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Orem.

Subject to your compliance with these Terms, Orem grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

8. Subscriptions, Payments & In-App Purchases

Certain features of the Service require a paid subscription or the purchase of credits ('In-App Purchases'). By subscribing or purchasing, you agree to pay all applicable fees as described on our pricing page.

• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings or through the platform you purchased on (Apple App Store or Google Play)
• Cancellation takes effect at the end of the current billing period — you retain access until then
• All fees are non-refundable except as required by applicable law or expressly stated herein
• We reserve the right to change pricing at any time with reasonable prior notice
• Credits have no cash value, are non-transferable, do not expire unless stated at the time of grant, and cannot be redeemed for money

If you purchase a subscription or In-App Purchase through the Apple App Store, payment will be charged to your Apple ID account. Your subscription will automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. You can manage and cancel your subscription in your Apple ID Account Settings. Apple is not responsible for any refunds; all refund requests for Apple purchases must be submitted to Apple directly at reportaproblem.apple.com.

If you purchase through Google Play, payment will be charged to your Google account. Subscriptions renew automatically unless cancelled in the Google Play app at least 24 hours before the period ends. Manage subscriptions at play.google.com/store/account/subscriptions. Refund requests for Google Play purchases must be submitted to Google.

Purchases made directly on our website are managed by Orem and are subject to these Terms.

9. Account Deletion & Content Ownership

When you delete your Orem account, all personally identifiable data (name, email, profile, and communications) is permanently removed from our systems. However, AI-generated creative assets — including music, beats, lyrics, or artwork — may be retained by Orem in anonymized form for product integrity and continued service functionality.

Upon account deletion, all remaining tracks or media tied to your user ID are automatically transferred to Orem's system ownership. Users who downloaded their creations prior to deletion retain those copies for personal use.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, OREM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Orem does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OREM, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

Orem's total liability to you for any claim arising out of these Terms shall not exceed the amount you paid to Orem in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Orem and its affiliates, directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit or distribute through the Service.

13. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality violations.

YOU AND OREM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

If you are a consumer in the European Union, the UK, or another jurisdiction that does not allow mandatory arbitration, the above arbitration clause may not apply to you and you may have additional rights under local consumer protection laws.

14. Third-Party Platform Disclaimer

Orem is an independent application. Apple Inc. and Google LLC are not parties to these Terms and are not responsible for Orem or its content.

Apple and Google have no obligation to furnish any maintenance or support services with respect to Orem.

Apple and Google are not responsible for addressing any claims by you or any third party relating to Orem or your possession and/or use of Orem, including: (a) product liability claims; (b) any claim that Orem fails to conform to any applicable legal or regulatory requirement; or (c) claims arising under consumer protection or similar legislation.

Apple and Google are third-party beneficiaries of these Terms with respect to your use of the App Store or Google Play version of Orem, and upon your acceptance of these Terms, Apple and Google will have the right to enforce these Terms against you.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will post the revised version on this page and update the effective date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically to stay informed of any updates.
